Governance Structure for Beacon Health (BH) and Beacon Rural Health (BRH)

The governance structures of BH and BRH serve to ensure compliance with applicable federal and state laws as well as our agreements with the Centers for Medicare and Medicaid Services (CMS) regarding participation in both the Medicare Shared Savings Program (MSSP) and the Next Generation ACO Program.

Further, the governance structure of BH serves to ensure compliance with the terms of our agreement with MaineCare under its Accountable Care Communities Program. We also apply the BH governance structure to our commercial contracts for uniformity. 

Beacon Rural Health:
BRH is a single member limited liability company of which BH is the sole member and only participates in MSSP. Most decisions are made at the Board of Managers of BRH. Michael Donahue, MBA, president of Beacon Health, is the manager appointed to represent the EMHS member hospitals that participate in MSSP. He has one vote.
Art Blank, president and CEO of MDI Hospital, is the manager appointed by MDI Hospital to represent it.  He has one vote.

Decisions are made by unanimous consent. In the event of a deadlock, the decision would go to the Class D members of BH. 

Doug Cowan serves as the beneficiary representative, as well as the patient and consumer representative. While he is not a voting member of the Board of Managers, he does actively participate in all Board of Managers meetings, providing valuable feedback and input that is taken into account in making decisions.

The executive leadership team (ELT) of BH serves as the ELT for BRH for all MSSP matters. The ELT takes care of day to day business and reports to the BRH Board of Managers.

Beacon Health:
BH is a multi-member limited liability company and participates in the Next Generation Program, the MaineCare Accountable Care Communities Program, and several commercial arrangements. Most decisions are made at the Board of Managers of BH.  Michael Donahue, MBA,president Beacon Health, is the manager appointed to represent the EMHS member hospitals that participate in the Next Generation Program. He has one vote. Art Blank, president and CEO of Mount Desert Island (MDI) Hospital, is the manager appointed by MDI Hospital to represent it.  He has one vote.

As MDI Hospital does not participate in the Next Generation Program, it does not participate in Next Generation decision making. All decisions regarding Next Generation are made by Michael Donahue, MBA, president of Beacon Health, as the manager appointed to represent the EMHS member hospitals that are Next Generation Participants.
